Platform terms.
Version platform_2026_09 · Effective 18 September 2026. These terms govern use of Counterpart. A venture engagement has its own separately accepted agreement. Contact support@counterpart.ph for support, account closure, or a platform complaint.
Accounts and authority
Use accurate information, protect your credentials, and act only for people or companies you are authorized to represent. Accounts are for adults with capacity to enter the relevant agreement. Verify your email before making or accepting offers. Verification of an email does not establish company authority or validate commercial claims.
Offers and engagements
An application is not an engagement. A commercial offer starts only on the invited party's acceptance of its saved version. Published compensation and scope must be accurate. The parties remain responsible for classifying the relationship correctly, meeting applicable employment and tax obligations, providing agreed access, and paying compensation. A platform label does not override mandatory legal rights.
Money and equity
Counterpart records claims and external payment acknowledgments; it does not hold funds, process investments, or guarantee payment. A performance entry does not issue shares. Cofounder rights require an appropriate signed instrument and company approvals. Historical records are preserved, and these platform terms do not retroactively cancel existing rights.
Evidence and conduct
Supply truthful information and use only material you have authority to share. Do not submit fabricated sales, duplicate payment claims, unlawful content, malicious links, or information obtained without authorization. Keep evidence and payment references proportionate. Report disputed figures through the review flow; prior records and outcomes are retained.
Privacy and confidentiality
The privacy notice explains data handling and access. Protect confidential information received through the service. Private records may be accessed by the engagement parties and authorized administrators for service, support, and dispute handling. Public preview edits do not amend an accepted agreement.
Availability and restrictions
We may restrict accounts that misuse the service and investigate reported issues. We may change or interrupt features for maintenance or security. Where practicable, affected users will receive notice. Restricting platform access does not determine ownership rights or cancel accrued payment obligations; contact support to obtain necessary records.
Disputes and changes
First raise an engagement concern through its review flow and agreed dispute process. Platform administration can record evidence and outcomes but does not replace a court, arbitrator, or statutory remedy. Material platform-term changes will be identified by a new version. Engagement changes require the parties' agreement, and mandatory rights remain applicable.
